BY-LAWS OF THE NEW YORK STATE YOUNG DEMOCRATS

Article I - Governing
Section 1 The most recent edition of Robert's Rules of Order shall govern the proceedings of all meetings of the New York State Young Democrats.

Section 2 By-Laws or rules of the State Convention shall be followed as long as they do not conflict with or contradict any part of these By-Laws or the constitution.

Article II - Resolutions
Section 1 All resolutions offered to any Convention or meeting of the New York State Young Democrats must be presented in writing to the Credentials Committee and approved by said committee before presentation to a Convention or Executive Committee for adoption.

Article III - Officers and Duties
Section 1 The President shall direct the officers of the organization as its administrative officer. The President shall chair the Executive Committee and shall be an ex-officio member of all other committees.

Section 2 The Executive Vice President shall assist the President in the performance of the duties outlined in Section 1 and in the absence of the President shall serve in his stead.

Section 3 The Upstate, Downstate, Western and Central Vice Presidents shall stimulate recruitment and activity within their respective areas.

Section 3.1 The Downstate Vice President shall be from either New York, Kings, Queens, Richmond, Bronx, Dutchess, Nassau, Orange, Putnam, Rockland, Suffolk, or Westchester Counties.

Section 3.2 The Upstate Vice President shall be from either Clinton, Essex, Franklin, Hamilton, Herkimer, Jefferson, Lewis, Oneida, Onondaga, Oswego, St. Lawrence, or Warren Counties.

Section 3.3 The Western Vice President shall be from either Allegany, Broome, Cattaraugus, Cayuga, Chautauqua, Chemung, Cortland, Erie, Genesee, Livingston, Monroe, Niagara, Ontario, Orleans, Schuyler, Seneca, Steuben, Tioga, Tompkins, Wayne, Wyoming, or Yates Counties.

Section 3.4 The Central Vice President shall be from either Albany, Chenango, Columbia, Delaware, Fulton, Greene, Madison, Montgomery, Otsego, Rensselaer, Saratoga, Schenectady, Schoharie, Sullivan, Ulster, or Washington Counties.

Section 3.5 All chartered clubs may cast votes in elections for officers except that in election of the 4 regional Vice-Presidents only chartered clubs within the region the Vice-President covers may vote.

Section 4 The Secretary shall keep a record of all meetings of the organization, a roll of its members, and a copy of the formal reports of its officers.

Section 5 The Treasurer shall receive and disburse all funds of the organization. He shall keep records of all receipts and disbursements which may be audited biennially upon demand of the State Executive Committee.

Section 6 The Executive Director shall perform such duties as directed by the President in accordance with the policies set forth by the Executive Committee.

Section 7 The National Committeeman and National Committeewoman shall represent the interests of the New York State Young Democrats at all meetings and conventions of the Young Democrats of America. The President shall serve as Chairperson of all delegations to such meetings.

Section 8 The Communications Director shall mange the Communications Committee.

Section 9 The Finance Director shall manage the Finance Committee.

Section 10 Every officer of the New York State Young Democrats shall submit an annual report of the conduct of his or her office at the end of each quarter.

Section 11 Any officer or member of this organization using his official designation or the official stationery or emblem of the organization to advance the cause of any individual primary candidate shall be subject to summary expulsion by action of the Executive Committee.

Section 12 Each chartered club shall select or appoint such officers as provided in its own Constitution and By-Laws.

Section 13 The county officers shall create, encourage and direct the growth and operation of Young Democratic clubs in their county.

Article IV - Cards
The New York State Young Democrats and any chartered club shall be authorized to issue membership cards for that particular organization.

Article V - Convention Nominations
Procedures for nominating officers shall be determined by the Executive Committee as outlined in the call to the State Convention.

Article VI - Amendments
Section 1 All amendments to these By-Laws and the Constitution, proposed for adoption at the State Convention or by the Executive Committee must be presented in writing to the Credentials Committee prior to the opening of the convention or the Executive Committee meeting at which such amendments are proposed.

Section 2 These By-Laws may be amended by a two-thirds (2/3) vote of the State Executive Committee.


Article VII - Executive Committee Meeting Notice
Notice by e-mail shall be provided by midnight ten (10) calendar days before all Executive Committee meetings. If ten (10) days notice is not provided, the meeting shall not be an official meeting.
