Authority
Section 1
The most recent edition of Robert's Rules of Order shall govern the proceedings
of all meetings of the Queens County Young Democrats (QCYD), subject to
these By-Laws and the Constitution of the QCYD.
II: Policy
Section 1
It shall be the policy of this organization to endeavor to uphold the
ideals set forth in its Constitution and by the Democratic Party.
Section 2
The QCYD shall review its policy platforms yearly. Such platforms shall
set forth the ideals and goals of the chapter.
Section 3
As a chartered organization of the New York State Young Democrats (NYSYD)
and the Young Democrats of America (YDA), the QCYD will work towards fulfilling
the mission and goals of said organizations within the county of Queens.
A. The Executive Board of the QCYD shall establish rules and procedures
governing the participation of its officers and members within the two
organizations contained in this section.
B. The QCYD shall endeavor to facilitate, to the maximum extent possible,
the election of its members to positions within the two organizations
contained in this section.
III: Executive Board Officers
Section 1
The Executive Board shall be the governing body of the QCYD and shall
be responsible for the general direction, operation, policy, and management
of such organization.
Section 2
The Executive Board shall consist of the following officers: President;
Executive Vice President; Vice President of Finance; Vice President of
Diversity & Outreach; Treasurer; Executive Secretary; Press Secretary;
and Social Director.
Section 3
The duties of the QCYD officers shall be as follows:
A. The President
1. Shall be the chief administrative officer of QCYD.
2. Shall direct the implementation of the policies adopted and authorized
by the Executive Board.
3. Shall preside over all general meetings.
4. Shall serve as the Chair of the Executive Board.
5. Shall call all meetings of the Executive Board and general membership.
6. Shall set the agenda for meetings of the Executive Board and general
membership.
7. Shall appoint a Parliamentarian to moderate and invoke parliamentary
procedures, as needed, at meetings of the Executive Board and general
membership.
8. Shall serve as an ex-officio member of all committees and special task
forces of the QCYD.
9. Shall appoint all committee Chairs, Sub-Chairs, and Advisory Board
members subject to the approval of the Executive Board. Such approval
requires an affirmative majority vote by the Executive Board.
10. Shall establish and dissolve ad-hoc committees as needed.
11. Shall serve as the official spokesperson for the QCYD by representing
the organization in all public affairs and in the media.
12. Shall represent the QCYD at all levels of local, state, or national
Democratic Party functions.
13. Shall represent the QCYD at other Young Democratic functions in the
State of New York.
14. Shall vote only to break a tie during meetings of the Executive Board
and general membership.
15. Shall co-sign checks with the Treasurer.
16. Shall be required to report his or her activities at each meeting
of the Executive Board and general membership.
B. Executive Vice President
1. Shall serve as Interim President in the event that the President cannot
fulfill the duties of the office due to leave of absence, death, resignation,
or removal from office.
2. Shall serve as Chair of the Voter/Campaign Committee.
3. Shall be responsible for drafting the organization's platform for the
year.
4. Shall perform such other duties as assigned by the President or the
Executive Board.
5. Shall be required to report his or her activities at each meeting of
the Executive Board and general membership.
C. Vice President of Finance
1. Shall serve as Chair of the Fundraising Committee.
2. Shall be in charge of raising a sufficient amount of money to fund
the activities of the QCYD.
3. Shall assist the Treasurer with the annual chapter budget in so far
as providing information on fundraising activities and other revenue estimates.
4. Shall perform such duties assigned by the President or the Executive
Board.
5. Shall be required to report his or her activities at each meeting of
the Executive Board and general membership.
D. Vice President of Diversity & Outreach
1. Shall serve as Chair of the Outreach Committee.By-laws of the Queens
County Young Democrats
2. Shall serve as the QCYD representative to various ?under represented?
or ?protected? political or community groups, including, but not limited
to, those dealing with disability, gender, race, and sexual orientation.
3. Shall nominate potential NYSYD caucus representatives to the Executive
Board for the purpose of representing the QCYD at such meetings at the
state level.
a.) Nominations require the approval of the Executive Board. Such approval
requires a simple majority vote of affirmation by the Executive Board.
b.) Only Active QCYD members in good standing are eligible for nomination.
c.) One QCYD member will be nominated, and subsequently appointed by
the Executive Board upon approval, to each of the five (5) NYSYD caucuses.
Such caucuses are as follows:
1) Caucus of Color (COC);
2) Disability Issues Caucus;
3) Gay, Lesbian, Bisexual, and Transgender
(GLBT) Caucus;
4) Labor Caucus; and the
5) Woman's Caucus.
d.) All NYSYD caucus representative will report to the Vice President
of Diversity & Outreach.
e.) NYSYD caucus representatives shall not serve as the QCYD?s representative
and serve on the Executive Board of the respective State caucus at the
same time.
4. Shall supervise all NYSYD caucus representatives from the QCYD.
5. Shall work with the Social Director regarding community parades.
6. Shall perform such duties assigned by the President or the Executive
Board.
7. Shall be required to report his or her activities at each meeting of
the Executive Board and general membership.
E. Treasurer
1. Shall maintain records of all receipts and disbursements of funds
for the QCYD in accordance with local, state, and federal laws and regulations.
2. Shall manage the daily activities with respect to all monetary transactions.
3. Shall prepare and submit the required expenditure reports for the state
and county Board of Elections.
4. Shall report all financial activity, specifically expenditures and
income, at each meeting of the Executive Board and general membership.
5. Shall prepare the annual chapter budget and present it to the Executive
Board for approval.
6. Shall co-sign all checks with the President or Vice President of Finance
and disburse funds according to procedure as established in the QCYD By-laws.
7. Shall notify members when dues are in arrears and issue invoices.
8. Shall perform such duties assigned by the Executive Board.
9. Shall be required to report to his or her activities at each meeting
of the Executive Board and general membership.
F. Executive Secretary
1. Shall record and distribute minutes of all Executive Board meetings
to officers of the Executive Board.
2. Shall record and distribute minutes of all general membership meetings
to all members of the QCYD.
3. Shall maintain organizational files and records in a safe and orderly
manner.
4. Shall maintain a list of attendees at each meeting and QCYD event.
5. Shall work with the Treasurer to keep a roll of all active, passive
and inactive members.
6. Shall keep a historical record of all QCYD activities.
7. Shall be responsible for of the Executive Board's correspondence.
8. Shall notify members of QCYD meetings and events.
9. Shall assist the Press Secretary with the maintenance of the QCYD?s
electronic listserv and serve as Co-Moderator of such listserv.
10. Shall perform such duties assigned by the President or the Executive
Board.
11. Shall be required to report his or her activities at each meeting
of the Executive Board and general membership.
G. Press Secretary
1. Shall serve as Chair of the Press Committee.
2. Shall serve as Editor-in-Chief of the QCYD?s newsletter.
3. Shall maintain the organization's website.
4. Shall assist the Executive Secretary with the preparation and distribution
of press releases.
5. Shall inform the press, including newspapers and television stations,
of fundraisers and other QCYD events.
6. Shall assist the Executive Secretary with the maintenance of the QCYD?s
electronic listserv and serve as Co-Moderator of such listserv.
7. Shall perform such duties assigned by the President or the Executive
Board.
8. Shall be required to report his or her activities at each meeting of
the Executive Board and general membership.
H. Social Director
1. Shall serve as Chair of the Social Committee.
2. Shall be responsible for coordinating outreach efforts at various community
parades with the Vice President of Diversity & Outreach.
3. Shall plan social events for the QCYD?s membership.
4. Shall perform such duties assigned by the President or the Executive
Board.
5. Shall be required to report his or her activities at each meeting of
the Executive Board and general membership.
Defined in the QCYD Constitution Article III, Section 1, any QCYD member
who is an elected official or who holds state or national office with
the NYSYD or YDA shall serve as an ex-officio (non-voting) member of the
Executive Board.
A. Such members shall be informed of all Executive Board meetings by
the Executive Secretary
B. Such members shall be allowed to participate in Executive Board meetings
and shall have a voice during Executive Board meetings.
IV: Standing Committees
Section 1
There shall be seven (7) standing committees, which include: the Fundraising
Committee; Outreach Committee; Press Committee; Social Committee; Voter/Campaign
Committee; College Committee; and the High School Committee.
Active member of the QCYD shall chair a standing committee.
A. If the Chair position is vacant for any committee, the President can
make an appointment with confirmation by the Executive Board to fill the
Chair vacancy.
Duties of the Chairs for each of the Standing Committees shall be as
follows:
A. Fundraising Committee
1. The Vice President of finance shall serve as chair.
2. Shall be in charge of raising money sufficient to fund the activities
of QCYD.
3. Shall perform any additional duties and responsibilities as assigned
to this Committee by the By-laws.
B. Outreach Committee
1. The Vice President of Diversity & Outreach shall serve as Chair.
2. Shall formulate a membership strategy to increase the membership of
the QCYD, and outline a method to the Executive Board stating the method
for achieving this goal.
3. Shall work to increase the number of active members in the organization.
4. Shall oversee all membership drives, recruitment efforts, and oversee
membership renewal.
5. Shall perform any additional duties and responsibilities as assigned
to this Committee by the By-laws.
C. Press Committee
1. The Press Secretary shall serve as Chair.
2. The Committee shall support the Press Secretary with the QCYD newsletter,
website, writing press releases, and dealing with the media.
3. Shall perform any additional duties and responsibilities as assigned
to this Committee by the By-laws.
D. Social Committee
1. The Social Director shall serve as Chair.
2. The Committee shall support the Social Director in organizing events
for the QCYD members.
3. The Committee shall support the Social Director in coordination QCYD?s
involvement in parades that occur within Queens County.
4. Shall perform any additional duties and responsibilities as assigned
to this Committee by the By-laws.
E. Voter/Campaign Committee
1. The Executive Vice President shall serve as Chair.
2. the Committee shall be responsible for registering new Democratic voters
within Queens County.
3. The Committee shall advise members of volunteer opportunities with
respect to all Democratic candidates.
4. Shall perform any additional duties and responsibilities as assigned
to this Committee by the By-laws.
F. College Committee
1. The Committee shall consist of QCYD members that currently attend
a college or university in Queens County.
2. Shall perform any additional duties and responsibilities as assigned
to this Committee by the By-laws.
G. High School Committee
1. The Committee shall consist of QCYD members that currently attend
high school in Queens County.
2. Shall perform any additional duties and responsibilities as assigned
to this Committee by the By-laws.
Committee Chairs shall serve at the pleasure of the President.
Article V: The Advisory Board
Section 1
One member of the QCYD will represent each of the Queens City Council
districts, and will give information about their district at each general
member ship meeting.
Section 2
The President shall appoint all Advisory Board members with the approval
of the Executive Board. Such approval requires a majority vote of affirmation
by the Executive Board.
Section 3
All Advisory Board members shall serve at the pleasure of the President.
Section 4
The term for all Advisory Board members shall not exceed that of the President
during any given term of office. All Advisory Board members must be re-appointed
to their respective positions after each chapter election by the President-Elect,
if he or she wishes to do so.
Article VI: Finances
Section 1
The Executive Board shall have the power, through majority vote of its
members present and eligible to vote at a particular meeting, to dispose
of its financial assets in a manner consistent with the goals and principles
stated in the Constitution and By-laws of the QCYD.
Section 2
The President and the Treasurer shall establish such bank and/or investment
accounts as deemed necessary by vote of the Executive Board.
Section 3
Any check issued by the QCYD shall bear the signature of both the President
and the Treasurer. In the event that the President is unavailable, the
Executive Vice President may co-sign checks.
Sections 4
The Treasurer shall draft a budget for each year. That budget shall be
presented for adoption at the first Executive Board meeting after chapter
elections have occurred. The budget shall be adopted by majority vote
of the Executive Board and presented to the membership at the next regularly
scheduled general membership meeting for approval.
Section 5
Any deviation from the accepted budget must be approved by a unanimous
vote of all Executive Board officers or by two-thirds vote of all members
in good standing present at the next regularly scheduled general membership
meeting.
Section 6
In the event that the QCYD is disbanded or dissolved, all assets and real
property of the QCYD, and its committees, shall revert to the benefit
of the Queens County Democratic Committee.
VII: Executive Board Meetings
Section 1
The executive Board shall meet at the call of the President, who shall
call at least six (6) meetings per year.
Section 2
At least seven (7) days prior to the meeting, a written notice of an Executive
Board meeting shall be given to each Executive Board member, stating the
time, date, and location of such meeting.
A. Such notice must be written and distributed by the Executive Secretary.
B. All other members of the QCYD who give written notice to the Executive
Secretary or the President requesting to be informed of such meeting will
be given written notice of the meetings as well.
Section 3
The President shall chair all Executive Board meetings unless absent or
unable to do so. Should the President be unable to chair a meeting, the
Executive Vice President shall serve as Interim Chair. If both the President
and Executive Vice President are absent or unable to chair such meeting,
and a quorum of Executive Board members is present, the remaining officers
shall vote amongst themselves to elect an Interim Chair for the respective
meeting.
Section 4
No meeting of the Executive Board shall be official without a quorum of
the Board in attendance as stated in Article IV of the QCYD Constitution.
The Executive Secretary shall call the roll at the beginning of each meeting.
A. Any meeting at which a quorum is not present shall be deemed as a
committee of the whole.
B. Decisions made by a committee of the whole shall be non-binding and
shall not be implemented until approval at the next official meeting of
the Executive Board at which a quorum is present.
Section 5
All decisions, confirmations, committee membership choices, votes or other
acts of the Executive Board at any meeting shall be accomplished by a
majority of the quorum present at that meeting, unless otherwise specified
in the Constitution or by-laws.
Section 6
The President shall set the agenda for each Executive Board meeting.
VIII: General Board Meetings
Section 1
The QCYD shall hold at least four (4) meetings per year, which shall be
chaired by the President. Should the President be unable to chair a meeting,
the Executive Vice President shall serve as Interim Chair. If both the
President and Executive Vice President are absent or unable to chair such
meeting, and a quorum of Executive Board members is present, the remaining
officers shall vote amongst themselves to elect an Interim Chair for the
respective meeting.
Section 2
At least (7) days notice of any QCYD general meeting shall be given to
each member, including date, time, location. Such notice must be written
and distributed by the Executive Secretary.
Section 3
The President shall set the agenda for each general meeting. Part of that
agenda must contain a ?members report? where any member will be able to
bring up projects for consideration that have not been otherwise considered
by the President or Executive Board.
Section 4
No meeting of the general membership shall be official without a quorum
of the organization in attendance as stated in Article V of the QCYD Constitution.
The Secretary shall call the roll of the active and passive members at
the beginning of each meeting.
A. Any meeting at which a quorum is not present shall be deemed a committee
of the whole.
B. Decisions made by a committee of the whole shall be non-binding and
shall not be implemented until approval at the next official meeting of
the general membership at which a quorum is present.
IX: Membership and Dues
Section 1
Only members in good standing are permitted to vote at meetings of the
QCYD. Members in good standing shall be those members who have paid their
annual dues in full to the Treasurer.
Section 2
As defined in the QCYD Constitution by Article II, Section 1, Honorary
Members shall not be considered members in good standing.
Section 3
Dues shall be set by the Executive Board, and voted on at a general membership
meeting. Currently:
A. Dues for general membership shall be set at twenty-five dollars ($25)
per year.
B. Dues for college student membership shall be set at fifteen dollars
($15) per year.
C. Dues for high school student membership shall be set at ten dollars
($10) per year.
Section 4
The Treasurer shall keep lists of which members have paid their dues and
shall determine which members are in good standing. In the event that
the Treasurer is unable to make such a determination or in the event a
dispute arises over whether a member is in good standing, the President
shall determine the respective member's status.
Article X: Amendments and Resolutions
Section 1
An amendment to these By-laws shall be adopted by a majority affirmative
vote of the membership at the meeting designated for the election of officers,
or at a special meeting as designated by majority affirmative vote of
the Executive Board which occurs during an Executive Board Meeting.
Section 2
Amendments shall become effective after adjournment of the meeting at
which they were adopted.
Section 3
All amendments to the constitution and the by-laws proposed for adoption
must be presented in writing to the Executive Board at least ten (10)
days prior to the Executive Board meeting at which such amendments will
be considered.
Section 4
When all Executive Board members are given the agenda of the Executive
Board meeting, they must be informed that an amendment is on the agenda
in order for an amendment to be considered for a vote at that meeting.
Section 5
The Executive Board, by a two-thirds (2/3) majority vote of the members
present and eligible to vote at that meeting, may adopt such provisional
rules as it deems necessary in order to facilitate the running of the
QCYD. Such provisional rules cannot be in conflict with, or in contravention
of, the Constitution and the By-laws of the QCYD.
